This "HerKey" platform, a website (currently located at: https://www.HerKey.com/) and mobile application-based platform (together, "Platform"), is owned and operated by JobsForHer Restart Portal Private Limited, a company incorporated under the Companies Act, 2013, and having its registered office at 11, Kemwell House, Tumkur Road, Bengaluru – 560022 (hereinafter referred to as "“Company" or "us" or "we" or "our", which expression shall, unless it be repugnant to the context or meaning thereof, be deemed to mean and include its successors and assigns).
Through the Platform, the Company seeks to, inter alia, facilitate an interactive platform connecting, through the intermediating services of the Company, those Her Users (as defined herein) who are seeking new networking opportunities/career advancement opportunities ("HER Users/Candidates") with persons and entities who are looking to engage any one or more Her Users from time to time ("Entities") , and conduct or provide or facilitate the provision of professional courses/assessments/expert services/events/mentoring and counselling services and opportunities/career development, training, learning or reskilling opportunities/networking opportunities, to the Users (as defined herein), which may be conducted/provided by third parties or partner or clients of the Company listed on the Platform (collectively, "Services")
The terms "you","your", or "User", and all its grammatical variations, shall mean any natural or legal person who accesses or uses or views the Platform or any of its features/offerings, including any Services, and in the event that a natural person is representing an entity or legal person, reference to such terms shall include a reference to such entity or legal person as well.
For the purposes of this Policy (as defined herein): (i) Entities, Partners, Mentors, Session Creators and Advertisers (including, in the event that a natural person is representing an entity or legal person who is an Entity, Partner, Mentor, Session Creator or Advertiser) shall collectively be referred to as "ForHer Users"; (ii) any and all women users of the Platform shall be referred to as "Her Users"; and (iii) any and all male users of the Platform shall be referred to as "Other Users". ForHer Users, Her Users and Other Users shall collectively be referred to as the "Users".
This Privacy Policy (“Policy”) reflects the Company's commitment towards protecting the Personal Information (as defined below), including Sensitive Personal Information/SPI (as defined below), provided by Users to the Company on the Platform and sets out, among other things, the nature and type of information the Company collects from Users, the usage, processing, treatment, maintenance, transfer, sharing and disclosure of such information, and the safety and security measures adopted by the Company to safeguard the information.
Please note that this Policy is only applicable to the Users and the information and data gathered or generated on the Platform and not to any other information or website/application/platform. You are hereby advised to read this Policy carefully and fully understand the nature, scope and purpose of gathering and/or collecting your Personal Information, including SPI, and the usage, processing, treatment, maintenance, disclosure, transfer and/or sharing of such information. By accessing or using any part of the Platform and/or the features/offerings thereof (including Services), you consent to the collection, use, processing, treatment, maintenance, disclosure, sharing and transfer of your Personal Information, including SPI, for the purposes outlined in this Policy and in accordance with the terms contained in this Policy and applicable laws. Without limiting the generality of the foregoing, by accessing or using any part of the Platform and/or the features/offerings thereof or requesting, consenting to, accessing or using the Services, you hereby also consent to the Company sharing information with its affiliates, partners, vendors, clients and third party service providers engaged by the Company for the purpose of the provision of or facilitating the provision of the Services to you and to the usage, processing, transfer and/or storage of your Personal Information and data, including SPI, in jurisdictions other than India, and that our affiliates, partners, clients, vendors and third party service providers may also, subject to applicable laws, store, use or process your Personal Information, including SPI, in jurisdictions other than India.
If you do not agree to this Policy, please do not access or use the Platform or the Services. Your access to or use of any part of the Platform and/or the Services indicates your acceptance of this Policy and all the terms contained herein. While you have the option not to provide us with certain Personal Information and/or SPI, withdraw your consent to collect certain Personal Information and/or SPI, request temporary suspension of collection of certain Personal Information and/or SPI or request deletion of certain Personal Information and/or SPI collected, kindly note that in such an event you may not be able to (i) access certain areas or features of the Platform, that require your Personal Information and/or SPI to access, and (ii) access certain offerings, including the Services, offered to you by us on the Platform which require the usage of your Personal Information and/or SPI to function. Further in such instance, we reserve the right to not provide you access to the Platform or any part thereof, including the Services or any part thereof.
Capitalised terms used herein but not defined herein will have the meaning ascribed to them in Company's Terms of Use for the Platform ("Terms of Use"), as available at https://www.herkey.com/terms-and-condition. This Policy forms an integral part of the Terms of Use.

1.1. The information we may collect about you online or otherwise on/through the Platform;
1.2. How we collect the information pertaining to you;
1.3. How we may use the information collected pertaining to you;
1.4. The use and role of cookies and similar technologies on the Platform;
1.5. How we will protect, maintain and use information we collect about and from you;
1.6. The circumstances and situations in which we might disclose, transfer or share your Personal Information, including SPI, to/with any third party;
1.7. When we may use your Personal Information to contact you;
1.8. How you may request deletion of records of your Personal Information and SPI;
1.9. How to ensure that the information we hold about you is accurate, valid, true and current; and
1.10. Whom can you contact with respect to any concerns you may have regarding our use of your Personal Information/SPI.
2. Information Gathered
2.1. In general, you can visit the Platform without revealing your identity or any Personal Information about yourself. However, you may not be able to access significant portions, features and sections of the Platform or use certain Services unless you login using your existing Account (as defined herein) credentials on the Platform and absent such credentials, create a new Account to register on the Platform and sign up for the Services on the Platform and/or reveal/disclose your identity and/or other information about you, including Personal Information, that we may require from time to time.
2.2. Information that we collect from you at the time of your registration on the Platform, which shall be through creating an account on the Platform (“Account”) or at any other time will vary depending upon the activity you seek to engage in or the Services that you seek to avail, and in this respect, if you choose to sign up for our Services as either a HER User/Candidate or an Entity, we may, at the first instance collect a username, password, contact number and email address from you. Further, if you are registered on the Platform as a HER User/Candidate and wish to avail any Services, as part of your Account profile on the Platform, you may be required to provide, inter alia, the following information:
2.3. If you are registered on the Platform as a HER User/Candidate and wish to upload your resume/curriculum vitae on the Platform to avail any Services, you can use the Resume upload/drop feature (“Resume Upload Feature”) available on the Platform. If you wish to upload your resume/curriculum vitae on the Platform from your Google Drive account, you may be required to sign in/log in to your Account using your Gmail account, connect your Google Drive account with the Platform and allow/provide permission to the Platform to extract your resume/curriculum vitae from your Google Drive account and list it on the Platform. When using the Resume Upload Feature, the permission you provide us to access your Google Drive account would only allow us to extract your resume/curriculum vitae from your Google Drive account and list it on the Platform, and unless otherwise agreed between you and us, we will not access your Google Drive account without your prior permission for any other purpose whatsoever. You agree and undertake to upload only your resume/curriculum vitae on the Platform when using the Resume Upload Feature. To the extent permitted by law, we shall not be liable in any manner whatsoever if you upload any document, information or content (whether or not containing any Personal Information or SPI) other than your resume/curriculum vitae on the Platform using the Resume Upload Feature and which gets stored on the servers of the Platform. When accessing a HER User’s/Candidate’s Google Drive account to extract his/her resume/curriculum vitae available therein and listing it on the Platform, pursuant to the permission provided by the HER User/Candidate, we endeavour to comply with the policies of Google LLC regarding the access, authorization, verification, collection, fetching, use and uploading of any information or document extracted or derived by us from the Google Drive account of the HER User/Candidate.
2.4. If you are registered on the Platform as an Entity and wish to avail any Services, as part of your Account profile on the Platform, you may be required to provide, inter alia, the following information:
2.5. You understand that the username of your Account may be listed publicly on the Platform and/or with respect to the Services, including on your profile page and in search results on the Platform. When you communicate with us or use the Platform or any Services to communicate with other Users, we may collect, record, process and store all or certain information about such communication, including Personal Information and SPI, in relation to such communication.
2.6. In addition, we may collect demographic information pertaining to you such as, without limitation, information about your computer, hardware, software, device, Internet Protocol (IP) address and connection, information about your online activity on the Platform such as Platform’s feature/offering usage and click paths, and other data/information that you may provide in surveys, opinion polls, research studies undertaken by or on behalf of us or while completing or with respect to your Account profile. We may combine your demographic information with Personal Information to tailor our offerings (including Services), the Platform or web pages to your preferences or interests.
2.7. If you choose to sign in to your Account with your social media account or email account to access the Platform or any Services, or otherwise connect your social media account or email account with the Platform or any Services, you consent to our collection, storage, use, processing, treatment, maintenance, disclosure, sharing and transfer, in accordance with this Policy, of the information that you make available to us through your social media account or email account interface.
2.8. We do not actively pre-screen any document, file, certificate, records, information or content (whether or not containing any Personal Information or SPI), uploaded, posted or stored by you on the Platform, but we reserve the right to refuse access to the Account or remove, moderate or delete or refuse temporary access to any document, file, certificate, records, information or content uploaded, posted or stored by you on the Platform at any time and for any reason whatsoever, including but not limited to when any of the aforementioned is found to be unlawful, forged, offensive, pornographic, infringing any right (including, without limitation, privacy rights) of any person or violating this Policy, Terms of Use or applicable laws. You acknowledge and agree that you are solely responsible for any document, file, certificate, records, information or content (whether or not containing any Personal Information or SPI) uploaded, posted or stored by you to the Platform and we shall not be liable in any manner whatsoever in this regard.
2.9. Personal information that you provide towards creation of a publicly visible profile on our Platform may be indexed by search engines (such as www.google.com and www.bing.com) and may appear in search results on such search engines. Please note that we do not control third-party search engines and cannot guarantee the removal of indexed data from their search results.
3. Sensitive Personal Information
3.1. Sensitive Personal Information ("SPI") means and includes such personal information which consists of information relating to your (or any entity on whose behalf you wish to avail of the Services) password; physical, physiological and mental health condition; medical records and history; biometric information; sexual orientation; Aadhar card and number and/or any other government-issued and recognised identity document and number; financial information (such as bank account details, payment details, billing details, digital wallet details or credit card numbers, etc.); transaction details of any transactions you carry out on/through the Platform; and such other information specified as constituting SPI under the applicable laws of India.
3.2. Except for your Account password and any SPI that you choose to provide, upload or store on the Platform or provide as part of your Account profile or in the course of transacting on the Platform, including in the course of availing any Services, or as otherwise provided in this Policy or Terms of Use, the Company does not collect any SPI in the course of providing the Services. Any SPI collected by the Company shall not be disclosed to any third party without your express consent, save as otherwise set out in this Policy or the Terms of Use or as provided in a separate written agreement between the Company and you or as required by law. It is clarified and you agree and understand that this condition shall not apply to publicly available information, including SPI, in relation to you on the Platform.
3.3. However, you acknowledge that in the course of providing the Services, the Company may receive SPI, either when you voluntarily choose to provide the SPI, update your Account profile with information which is in the nature of SPI, or from such content, photos or documents posted or uploaded by you on the Platform, and you hereby consent and agree to allow the Company to collect, use, process, treat, maintain, store and display the SPI collected in this manner on the Platform and disclose it in accordance with the terms of this Policy and Terms of Use. In the event that the SPI provided by you relates to another person/entity, you warrant and covenant that you have obtained the prior consent of such person/entity to the disclosure and transfer of SPI in accordance with this Policy or the Terms of Use, or any other agreement entered into by us with you.
3.4. It is clarified that with respect to any SPI that you may share on the Platform or in relation to the Services with the Company or other Users or any third party, you have the sole right to determine whether you want to share such SPI with the Company and/or such Users and/or such third party. Further, with respect to any SPI that you may share in the course of updating your Account profile, you have the right to determine the levels of access to such SPI, by adjusting the privacy settings of your Account on the Platform.
3.5. If you choose to maintain a private profile on the Platform, any SPI that you share will be collected only by the Company and may be used to collate trends and statistics or provide Services that you request, but will not be shared with other Users of the Platform without your consent or unless otherwise required by law or as provided in this Policy or Terms of Use. If you choose to maintain a public profile, any SPI you share on your Account profile or on any public area/forum, feed or journal of/on the Platform, may also be accessed by any visitors to/Users of the Platform, and such information may be collected and used by others and may result in unsolicited messages or contact from others. Any Personal Information or SPI that you provide about yourself while choosing to maintain a public profile is solely at your own risk and we shall not be liable in any respect whatsoever.
4. Personal Information
4.1. "Personal Information" means and includes any information that may be used to identify you, including, but not limited to, in case of a natural person, your first and last name, age, place of residence, permanent residential address, date of birth, marital status, email address, phone number or other contact information, photograph, profile, candidature, any information related to your professional or academic qualifications, followers and following on the Platform, groups, posts on the Platform including comments and reactions, profile summary, voice recording(s), video recording(s), any communication that you make with us or our representative(s) and which communication has information in relation to you which is in the nature of Personal Information, and in case of a legal person, organisation’s contact details, organisation’s contact person’s details, organisation’s profile, photographs, any communication that you make with us or our representative(s) and which communication has information in relation to you which is in the nature of Personal Information. Any information that is freely available or accessible in public domain or furnished under the Right to Information Act, 2005 or any law for the time being in force shall not be regarded as Personal Information within this Policy.
4.2. We may collect Personal Information from you when you register and create an Account profile on the Platform to avail any Services, before you avail any Services, during the course of availing any Services or otherwise when you voluntarily provide such information to us, or otherwise as provided in this Policy or Terms of Use. Further, we may use the Personal Information in order to verify your credentials, for the purpose of permitting continued access to our Services, to contact you in the course of rendering the Services or otherwise for such purposes as mentioned in this Policy or the Terms of Use.
5. Cookies and Other Tracking Technologies
5.1. The Platform or any part thereof may utilise data collection tools such as "cookies" and other tracking technologies. A "cookie" is a small text file that may be used, for example, to collect information about your activity on the Platform. Some cookies and other technologies we use may serve to save and/or recall Personal Information previously indicated/provided by you on the Platform. Most browsers allow you to control cookies, including whether or not to accept them and how to remove them. You may set/update the settings of most browsers to notify you if you receive a cookie, or you may choose to block cookies by modifying the settings within your browser, but please note that if you choose to erase or block your cookies, you may need to re-enter your Personal Information each time you try to gain access to certain parts of the Platform. Further, while the option of accepting cookies is up to you, certain features of the Platform including the Services may not be accessible without accepting cookies. If you choose to eliminate cookies, the full functionality of the Services may be impaired for you.
5.2. Additionally, you may encounter cookies or other tracking technologies on the Platform or any part thereof that are placed by third parties like Google, Meta, etc. We do not control the use of cookies and other tracking technologies by third parties and shall not be liable for any reason whatsoever for the third-party cookies and other tracking technologies placed on the Platform or any part thereof.
5.3. Cookies and tracking technologies may automatically collect, record and store certain information, including without limitation, your electronic device’s connection to the internet; your Internet domain and host names; other information about your geographic location and IP addresses; your browser’s software and operating system types; your CPU type; your manner of connecting to the Internet (e.g., connection speed through narrowband or broadband access); click paths; and dates and times that the Platform is accessed.
5.4. Our use of cookies and other tracking technologies allows us to improve the Platform, tailor the Platform and its usability to the interests of the Users, remember choices you make (such as User/Account name, email address, phone number etc.), deliver content that is most relevant to you and your interests, and improve and enhance your experience using the Platform and the Services. We may also analyse information that does not include Personal Information for measuring traffic and User activity on the Platform, trends and statistics.
6. Uses of Personal Information and SPI
6.1. We may use Personal Information, SPI and other information received and collected from you: (i) to provide or facilitate the provision of the Services you have requested (including sharing your profile with ForHer Users or recommending your candidacy to Entities); (ii) to enable you to access and update your profile on your Account; (iii) to contact you upon your request, respond to your queries, requests or complaints or when otherwise necessary; (iv) for auditing, research and analysis; (v) to operate and improve our Services and Platform; (vi) to facilitate your use of the Platform and Services; (vii) to conduct internal reviews and data analysis for the Platform and the Services; (viii) for sending you surveys and marketing communications; (ix) for advertising and marketing purposes, including targeting and lead generation purposes; (x) to notify you about any important information pertaining to the Platform/Services or any changes to our Services, this Policy, the Terms of Use or any terms or policies applicable to the Platform and/or Services; (xi) to engage in technical maintenance and trouble-shooting problems and errors associated with the Platform; (xii) to manage your transactions with us on the Platform; (xiii) to protect the integrity of the Platform; (xiv) for testimonials and other promotions; (xv) to detect and protect us against error, fraud, phishing, unauthorized transactions, and other criminal and illegal activity; (xvi) to improve our internal customer training; (xvii) to comply with applicable laws; (xviii) to manage disputes, raised by you or any third party, that may arise as a consequence of provision of the Services to you; (xix) for such purposes as disclosed to you at the time you provide your Personal Information and/or SPI or as otherwise set forth in this Policy, or Terms of Use or any terms or policies applicable to the Platform and/or Services. In certain circumstances as may be solely determined by us, we may share your aggregated Personal Information, in a non-personally identifiable manner with third parties such as our business partners, clients, investors, prospective investors or affiliates. When we use third parties to assist us in processing your Personal Information, we require that they comply with our Policy and any other appropriate confidentiality and security measures.
6.2. You acknowledge that in the course of/with respect to your use of the Platform and/or Services we may receive your Personal Information, when you choose to provide such Personal Information (either through a testimonial or through emails sent to us) related to your use of/experience with the Platform and/or Services, and you hereby consent and agree to allow us to store and display the Personal Information (including without limitation, your name, place of residence, photograph and testimonial) collected in this manner on the Platform and disclose it on the Platform in accordance with the terms of this Policy and Terms of Use.
6.3. Where we propose to use your Personal Information or SPI for any uses or purposes other than as specified in this Policy or Terms of Use, we will ensure that we notify you first. You will also be given the opportunity to withhold or withdraw your consent for your use of Personal Information or SPI other than as listed under this Policy.
7. Confidentiality and Security
7.1. We will keep confidential and protect your SPI and Personal Information except where disclosure is required or permitted by law, or in instances where we have a good-faith belief that it is necessary to comply with a court order, legal obligation, legal process, request from government or judicial authorities, or to exercise our legal rights or defend against legal claims or to detect, prevent, or otherwise address security, fraud, imminent harm or technical issues, or to enforce this Policy, the Terms of Use and any other or any terms or policies pertaining to the Platform and/or Services, including investigation of any potential violation thereof, or where use and disclosure thereof has been permitted by you or is otherwise permitted under this Policy or the Terms of Use.
7.2. We follow generally accepted industry standards and legally mandated safeguards to protect and safeguard the SPI and Personal Information submitted to us, both during transmission and, once we receive it, for storage and disposal. All information we gather is securely stored within databases controlled by us. The databases are stored on servers secured behind a firewall; access to the servers is password protected and is strictly limited. However, no data transmission over the Internet, or method of electronic/data storage, is 100% secure and no security system is impenetrable. Therefore, while we strive to use commercially acceptable means and legally mandated safeguards to protect your Personal Information and SPI, we cannot guarantee the security of the systems and measures we use to protect your Personal Information and SPI, nor can we guarantee that any information you supply or transmit to us will not be intercepted or its confidentiality will not be compromised while being transmitted to us over the internet.
7.3. Notwithstanding anything contained in this Policy, we shall not be held responsible for any loss, damage or misuse of your Personal Information, including SPI, if such loss, damage or misuse is attributable to a Force Majeure Event. A “Force Majeure Event” shall mean any event that is beyond the reasonable control of the Company and shall include, without limitation, sabotage, fire, flood, explosion, acts of God, civil commotion, strikes or industrial action of any kind, riots, insurrection, war, unavailability of any communication system, acts of governmental or judicial authority, hacking of the Platform or any part thereof, unauthorized access to the Platform’s data, technical snags/failures and breach of Platform’s security and encryption.
7.4. We limit access to SPI and Personal Information to our employees, agents, service providers, partners, clients, vendors, affiliates, representatives and personnel whom we believe reasonably need access to your Personal Information and/or SPI to provide Services to you.
7.5. We may engage third party service providers, vendors or partners to help us provide certain services, including Services, to you on our behalf. We may provide/share information pertaining to you, including Personal Information and/or SPI, to such third-party service providers, vendors or partners to help us deliver our products, information, and Services efficiently and effectively. We may also engage third party service providers to maintain, improve or optimize the Platform, Services and/or mailing lists. We will take reasonable steps to ensure that these third-party service providers, vendors and partners are obligated to protect Personal Information on our behalf, by entering into confidentiality agreements with such third-party service providers, vendors and partners or otherwise. However, we are not liable and cannot be held liable for any breach of security or for any actions of any third parties, including any of our third-party service providers, partners, clients or vendors, that receive your information. We do not intend to transfer SPI and Personal Information without your consent to third parties who are not bound to act on our behalf unless otherwise provided herein or such transfer is legally required. Similarly, unless otherwise provided herein, we will not sell SPI and Personal Information collected by us without your consent.
7.6. If you choose to provide us with your SPI and Personal Information, you understand and agree that we may use, transfer, process and/or store that SPI and Personal Information from your country or jurisdiction to other countries or jurisdictions around the world in accordance with applicable laws, and that our affiliates, service providers, clients, vendors or partners may also, subject to applicable laws and terms contained herein, use, transfer, process and/or store the Information in jurisdictions other than India in accordance with applicable laws. Your SPI and Personal Information may be collected and stored on servers located in the territory of India and such other countries as we may disclose from time to time.
8. Your rights with respect to your Personal Information
From time-to-time, may we seek your consent to use your Personal Information and/or SPI for a particular purpose. Where you consent to our doing so, we will use it for that purpose. Where you no longer want us to use your information for that purpose, you may withdraw your consent to this use.
8.1. Withdrawal of consent
You are entitled to withdraw consent for processing of your Personal Information/SPI by emailing a specific request to admin@herkey.com. Withdrawal of consent with respect to all or any part of your Personal Information/SPI may result in immediate withdrawal of your eligibility to avail the Services provided on the Platform/otherwise and the termination of any subscription or other service for which such Personal Information/SPI is necessary to provide. Your withdrawal of consent shall not operate to cause us to cease any processing of Personal Information/SPI that is necessary for compliance with applicable law or the order of a court/executive authority, or purposes for which non-consensual processing is permitted under applicable law.
8.2 Deletion of Personal Information and SPI
8.3. Other Rights
You may write to us at admin@herkey.com for any additional information that you seek about how we handle your Personal Information and any requests in relation thereto, not specifically covered elsewhere in this Policy. We will endeavour to acknowledge each request and respond to your request within forty-eight (48) hours or such other timeline as provided by applicable law. We retain the right to examine your request for additional information in relation to how we handle your Personal Information, to ensure that your request is in accordance with applicable law. We also retain the right to reject any such request made by you, in accordance with applicable law including, if such request is, without limitation, manifestly unfounded and without a demonstrable intention to exercise your right to access information, or a misuse of your right to request additional information. Please note that certain information or requests for information that may be sought by you, which are in furtherance of your lawful right to access your data, may involve, without limitation, disclosure of Personal Information or SPI of a third party, and/or information which is subject to confidentiality/non-disclosure obligations under law or contract. In such cases, we will inform you of any impediments to the disclosure of information requested by you in our response to your request.
9. Retention
9.1. Your Personal Information, including SPI, may be retained and may continue to be used by us until: (i) the relevant purposes (including the provision of Services) for the use of your Personal Information and SPI as provided in this Policy and the Terms of Use are no longer applicable; or (ii) until you request deletion and we are no longer required by applicable laws, regulations, contractual obligations or legitimate business purposes to retain your Personal Information or SPI or the retention of your Personal Information or SPI is not required for the establishment, exercise or defense of any legal claim or the retention of your Personal Information or SPI is not required for purposes of tax or regulatory compliance. After this period, your Personal Information and SPI will be deleted or in some cases anonymised.
10. Third Party Platforms and Services
10.1. The Platform may contain links, references, posts, materials and content from third party websites, applications or services (“External Resources”) outside of our control. Your visit to or interaction with any External Resource including any information provided by you therein, irrespective of whether the link to such External Resource originated on the Platform, is governed by the terms and privacy policies of such External Resource, and your interaction with any External Resource is outside the purview of our control and is at your own risk. Because we cannot control the activities of External Resources, we cannot accept responsibility for any collection, use, treatment, processing, maintenance, disclosure, transfer and management of your information by such External Resources, and we cannot guarantee that they will adhere to the same privacy and security practices as we do. We are not responsible for the functionality, security measures, privacy practices or the content of External Resources and this Policy will not govern your access or use of any External Resources that you visit or use. Therefore, if you visit any External Resource, irrespective of whether the External Resource is linked or referenced to the Platform, you should consult that External Recourses’ privacy policy and terms before providing any information therein. 12. Change of Control
12.1. In the event that ownership or control of the Company was to change or in the event the Company sells or transfers all or a portion of its business, or its assets, to another entity (e.g., in the course of a transaction like a merger, acquisition or similar transaction), your SPI and Personal Information may be transferred, shared, disclosed, sold or assigned as part of the transaction. You hereby expressly grant consent and permission to the Company for transferring, sharing, disclosing, selling or assigning, as the case may be, your Personal Information, including SPI, to such transferee or buyer. Such transferee or buyer would be obliged to honour the commitments made in this Policy. If such a transfer, sharing, disclosure, sale or assignment results in a change in the nature of processing of your SPI and Personal Information, the Company will provide you notice about the choices you have to decline to permit such a transfer, sharing, disclosure, sale or assignment of SPI and/or Personal Information, as the case may be.
13. Accuracy and Updating Information
13.1 The Company shall take commercially reasonable steps to ensure the accuracy of any Personal Information/SPI processed in relation to the provision of the Services, as required by law. In this regard, you hereby warrant and confirm that any information, including Personal Information and SPI, you provide or share on the Platform, in relation to your Account and in relation to availing any Services, is and shall continue to be valid, true, current and accurate to the best of your knowledge. Based on such warranty and confirmation, the Company shall not be liable, for any reason, in any manner, and under any circumstance whatsoever, for the authenticity, correctness, trueness, validity or accuracy of any information, including Personal Information and SPI, provided by a User on the Platform, in relation to the User’s Account or in relation to availing any Services.

You agree to, at your own expense, protect, indemnify, defend and hold us harmless from and against all losses, liabilities, claims, demands, suits, actions, judgments, costs, expenses and damages (including reasonable legal fees and expenses) arising from or relating to, directly or indirectly, in whole or in part any claim or allegation that any Personal Information or SPI shared or provided by you on the Platform or in relation to availing any Services infringes any right (including, without limitation, privacy rights) of any person.
13.3. To the extent that you do provide us with Personal Information and SPI, we wish to maintain accurate and current SPI and Personal Information. Where we collect SPI and Personal Information from you on the Platform, should you need to update or correct that SPI and Personal Information, please contact us and we will make reasonable efforts to incorporate the changes in the relevant SPI and Personal Information that we hold as soon as practicable. You can obtain the information we currently hold about you by emailing the Company at admin@herkey.com from the email address provided by you to the Company at the time of your registration on the Platform. We will use our best efforts to send you the information within 14 days of receipt of your email. Notwithstanding the foregoing if you wish to correct or update any document containing your Personal Information and/or SPI and uploaded by you to the Platform, you may correct or update such Personal Information and/or SPI directly by uploading the updated document to the Platform, and you agree to notify us immediately about such updation by emailing us at admin@herkey.com.

If any information, including Personal Information and SPI, that you provide or share on the Platform or in relation to your Account or availing any Services is untrue, inaccurate, not current or incomplete (or becomes untrue, inaccurate, not current or incomplete), or if we have reasonable grounds to suspect or believe that such information is untrue, inaccurate, not current or incomplete, we have the right to suspend or terminate your Account and refuse any and all current or future use of the Platform or any Services provided therein at our sole discretion, in addition to any right that we may have against you at law or in equity, for any misrepresentation of information provided by you.
14. Protection of Account Information and Password
14.1. You are solely responsible for any activity under your Account, and you are responsible for maintaining strict confidentiality of your Account password and other credentials. It is your sole responsibility to control access to and use of your Account. Any breach of this provision constitutes a violation of this Policy and may result in termination of your Account and/or access to the Platform or Services. If you become aware of or reasonably suspect any breach of security of your Account, including compromise of your Account password, you must notify us immediately. We will not be responsible or liable to you or anyone claiming through you for any loss or damage arising from your failure to comply with the obligations stated in this provision.

15.1. In the event that you choose to terminate or delete your Account, or if your Account has been terminated by us for any reason, such as, without limitation, violation of the Terms of Use or this Policy, the Company shall within a reasonable period of time and subject to the terms contained herein, delete and remove all your SPI and Personal Information that you may have submitted to us and which is stored in your Account. You acknowledge and agree that anonymized or non-personally identifiable information pertaining to you and as available with us may continue to be used, processed, stored, maintained, disclosed and/or displayed by the Company or its affiliates, service providers, partners, clients and third parties as a part of any surveys or research or tabulations conducted/compiled whether on the Platform or elsewhere or for any other purpose whatsoever in accordance with applicable laws. 16. Public Areas of the Platform
16.1. Any information that you post on or through the public areas of the Platform (e.g., chat rooms or discussion/networking areas/groups (including, Groups)/sessions) will be generally available and accessible to anyone who is a part of or using such public areas of the Platform, and such information may be collected and used by others and may result in unsolicited messages or contact from others. Any information that you provide about yourself in public areas of the Platform is solely at your own risk and we shall not be liable in any respect whatsoever.

18. Severability
18.1.
